1. Scope of the agreement

WALL BOX CHARGERS, S.L. (hereinafter referred to as "WALLBOX"), is a commercial company, with N.I.F. B66542903, and registered office at Calle Josep Ros i Ros, 21A, de Sant Andreu de la Barca, with post code 08740, Barcelona, Spain, and email [email protected], which is duly registered in the Commercial Registry of Barcelona, Volume 44872, Folio 59, General Section, Sheet No B469977, Registration 1. WALLBOX is the owner of a service aimed at the operation of smart electric vehicle charging devices, which includes the sale of the "WALLBOX PULSAR", "WALLBOX COPPER" and "WALLBOX COMMANDER" devices, as well as any other charging devices (hereinafter, the "Devices") and other products that it may sell (hereinafter and together with the Devices, the "Products"). These terms and conditions of sale ("General Conditions of Sale") bind any person (hereinafter, the "User") for the purchase of the Products made available for sale both through the electronic commerce platform (hereinafter, "Online Store or Store") on the website corresponding to the domain name (hereinafter, the "Website") as well as other means of direct sale. The purchase of the Products implies the acceptance by the User of these General Conditions of Sale.


2. Buying Online at Wallbox


2.1. The purchase of the Products will require the User to first register using an email address. The registration and formalisation of the purchase of the Products implies acceptance of these General Conditions of Sale, as well as the characteristics of such Products.


2.2. Sales are intended exclusively for Users over the age of 16 with the full capacity to contract the service. The purchase of Products is strictly prohibited for users who do not comply with this requirement.


2.3. The prices of the Products published in the Store will be those on sale to the end public, and will be valid for the duration of their publication. The prices will be expressed in Euros (€) or the local currency that may apply to the place of purchase, and include the corresponding current indirect taxes, unless a different tax regime should be applied due to legal provisions. (See clause 8.2).


2.4. Any completed order shall be understood as acceptance of the price and characteristics of the Product available for sale. WALLBOX undertakes to issue and provide the User with the Product they have purchased, in accordance with stock availability. In the event of formalising the purchase of a Product and it being unavailable, WALLBOX undertakes to notify the User as soon as possible of its unavailability, and to cancel the order, immediately refunding the corresponding payment.


3. Payment methods for online purchases

3.1. WALLBOX will only accept the following payment methods: credit or debit card, PayPal, Aplazame or bank transfer, with the User’s payment details being requested for this purpose. It is not permitted to use data or payment instruments owned by third parties.


3.2. WALLBOX implements the necessary technical and organisational security measures to ensure the confidentiality and security of the data necessary for payments that are sent via the Website, and uses a secure payment system (SSL, "Secure Socket Layer").


3.3. Once the payment has been made and confirmed, the Store will display for the User a confirmation that the purchase process has been successfully completed. In addition, Users will receive a confirmation email once their order has been shipped, with an indication of the expected delivery date.


4. Product shipments


4.1. Online sales: For countries where shipments are offered by WALLBOX, the shipping cost will be included in the Product price published in the Online Store. WALLBOX ships Products to the following countries: Spain, Germany, Andorra, Austria, Belgium, France, Italy, Luxembourg, the Netherlands, Portugal, the United Kingdom.


4.2. In the event that the User does not reside in any of the above territories, the User must contact WALLBOX in order to determine the possibilities of sending the Products to the User’s place of residence.


4.3. WALLBOX can deliver the order within seven (7) business days from the date of your order, except in cases of force majeure. Deliveries will be made on weekdays from Monday to Friday, with WALLBOX only being responsible for the delivery options offered in the Store.


4.4. The User is responsible at all times for checking that the Products are in good condition upon delivery, and will proceed to accept them by signing for them. If the User sees that the shipment may have been opened or tampered with, the User should not accept the goods and should contact WALLBOX immediately.


4.5. The shipping conditions established here will apply to both Wallbox product shipments from online sales as well as shipments from other methods of sale.


5. Warranty

5.1. Wallbox guarantees its products against all material and manufacturing faults for a period of two years from the date of purchase. During this period, Wallbox will repair or replace, at its discretion, any faulty product without additional charges to the customer for any WALLBOX Products purchased by the User directly from WALLBOX. Should the User have purchased the product from a distributor/seller other than Wallbox, the User must contact that distributor/seller to manage the warranty.


5.2. Replacement products or repaired parts will have a warranty that will cover the remaining term of the initial warranty or six months, whichever period is longer. This limited warranty will not apply to faults resulting from accidents, misuse, defective maintenance or normal wear and tear. Improper use shall be understood to be the replacement or addition of any part by the customer.

5.3. Except to the extent provided for by the applicable law, the terms of this limited warranty do not exclude, restrict or modify the mandatory legal rights relating to the purchase of the product, and are additional to them. If you believe your product is faulty, contact the seller of the Wallbox product to obtain the address to which the machine should be shipped or taken to for repair.


6. Right of withdrawal: return, replacement and reimbursement


6.1. In relation to Products purchased by Users directly from WALLBOX, Users will have a period of fourteen (14) calendar days after receiving the product to exercise their withdrawal and proceed to return the Products without the need to justify the reasons for exercising such a withdrawal; as well as to exchange them for another of WALLBOX’s Products. After verifying that the Product that the User has requested to return is in perfect condition, we will process the reimbursement using the same payment method used for purchase. The following amounts will be deducted from the total amount: (i) shipping costs (ii) labour costs for the qualified installer to remove the charger. This amount cannot exceed 20% of the sale price. Should the User have purchased the product from a distributor/seller other than WALLBOX, the User must contact that distributor/seller to manage the return, replacement and refund.


6.2. Changes and returns of the Products purchased by the User directly from WALLBOX must be requested by the User, who must contact WALLBOX customer service in writing, using the email address [email protected]. Should the User have purchased the product from a distributor/seller other than WALLBOX, the User must contact that distributor/seller to manage the return, replacement and refund.


6.3. The exchanges and returns to WALLBOX for Products purchased by the user directly will be made using the goods transportation services contracted by WALLBOX, used for the initial shipment to the User. WALLBOX shall not be liable for any loss, robbery, theft, damage and/or deterioration that may occur to the Products in the event that the User contracts a shipping service other than the one contracted by WALLBOX. In addition, in such cases WALLBOX will reserve the right to not to refund the price of the Product, or to resend the Product requested as a replacement. Should the User have purchased the product from a distributor/seller other than WALLBOX, the User must contact that distributor/seller to manage the return, replacement and refund.


6.4. The Products must be returned by the User in perfect condition, completely new and unused, and in their original packaging. WALLBOX reserves the right not to accept the Product return or replacement if these reshipment conditions are not met.


6.5. Only when WALLBOX products are purchased by the user directly from WALLBOX and are suitable to be returned, according to the conditions indicated above, will WALLBOX refund to the User the purchase amount within a maximum period of fourteen (14) days by virtue of the User’s right to withdraw, counted from the date that the return request is received from the User. The refund will be made using the same payment method made by the User when the Product was purchased directly from WALLBOX. The amounts that may correspond for shipping costs for the return and, where appropriate, the labour costs in accordance with clause 6.1, will be subtracted from the amount to be refunded.


6.6. In the event of the replacement of any WALLBOX product purchased by the User directly from WALLBOX, WALLBOX will order the replacement and shipment of the new Product within a maximum period of fourteen (14) calendar days, counted from the date when the Product sent by the User for return is received. The shipment of the new Product will be made using the delivery service used for the initial purchase. In the event that the new Product is more expensive than the one initially requested, the User must pay the difference via the payment method indicated by WALLBOX’s customer service. In the event that the new Product is cheaper, WALLBOX will issue a refund using the payment method used for the initial purchase or the one it deems most appropriate, within a maximum period of fourteen (14) calendar days from when the Product to be replaced is received. Should the User have purchased the product from a distributor/seller other than WALLBOX, the User must contact that distributor/seller to manage the return, replacement and refund.


6.7. Only for those products purchased directly from WALLBOX in which, in addition to the charger, the installation of said charger has also been contracted with WALLBOX, and only for cases where there is a request for a Product return or replacement due to it being faulty, in other words, in application of the warranty, will the costs of such procedures be free of charge for the User. In the event of a replacement, WALLBOX will deliver an equally guaranteed replacement Product. The replacement does not entail the extension of the two-year warranty period, which in any case will be calculated from the effective purchase date of the initial Product.


6.8. By way of example and without limitation, WALLBOX will not accept the return or replacement of the Product in the following cases: - Due to damage and defects caused as a result of the improper use of the Product. - Due to damage and defects caused by the exposure of the Product to environmental conditions that are not suitable for its use. - Due to damage and defects caused by incorrect installation by a non-certified installer. - Due to damage caused by vandalism, bad weather, or due to the User's own electrical network. Should the User have purchased the product from a distributor/seller other than WALLBOX, the User must contact that distributor/seller to manage the return, replacement and refund. In the event that the User has contracted the installation of the product with a company other than WALLBOX, WALLBOX will not bear the costs related to the labour necessary for the removal of the product even if the removal of this product takes place in execution of the warranty.


7. Liability


7.1. WALLBOX shall not be liable for any minimal differences or inaccuracies that the User may notice in relation to the Products, with respect to their presentation in the Store, particularly due to problems viewing the Website, quality of photographic reproductions, incidents with the browser used by the User, or similar issues. WALLBOX ensures that all necessary measures are applied in order to provide the User with a faithful image of the Products being sold.


7.2. WALLBOX shall act with the utmost diligence, in order to make the Products on sale available to the transport company. WALLBOX is not responsible for any incidents and damage arising from the transportation, including, but not limited to, strikes, traffic congestion or accidents in the transport, that may result in the delay, loss or theft of the Product selected by the User.

7.3. WALLBOX uses all of the means at its disposal to ensure that it carries out the selection, payment and shipping process in the Store. However, WALLBOX will not be liable for accidental causes, force majeure, Website maintenance, or any other reasons that it is not responsible for of a similar nature that prevent the Store from working properly.


7.4. WALLBOX shall not be liable for the use or deterioration or wear and tear of the Products due to their use by the Users. Nor shall it be liable to Users for the return of Products that are not sold in the Store.


8. Reservation of rights


8.1. WALLBOX reserves the right not to accept orders from Users without expressing the reason. It also reserves the right to refuse any order placed by Users with which there are previous conflicts regarding payment of the price for the Products.


8.2. WALLBOX may modify the Product prices at any time, publishing these modified prices in the Store. In any case, the purchase price of the Products will correspond to the one published at the time the Product is selected and the User confirms the transaction.


8.3. WALLBOX reserves the right to verify the personal data provided by the User, as well as to take the measures it deems necessary in order to verify that the User is the owner of the documents, cards and other payment methods used. The verification may consist of requesting proof of identity, address and/or bank documents from the User. If the User does not respond to this type of request within two (2) days following the request, the purchase request will be cancelled automatically, without the possibility for a claim.


8.4. WALLBOX shall be entitled to remove any Users who may be misusing or abusing the Store, carrying out fraudulent acts or harming other Users. WALLBOX declares that it has enabled the necessary technological mechanisms and support to detect any potential fraudulent, anomalous or intentional actions aiming to alter the way the Store normally works.

8.5. WALLBOX reserves the right to modify these General Conditions of Sale, at any time and without prior notice, it being the User's responsibility to read them each time they contract and/or use the services provided via the Store. In any case, before accepting the purchase procedure, the User must accept the General Conditions of Sale that are in force at that time, and will always have access to them beforehand.


9. Content


9.1. The information, content and data of any kind on the pages of WALLBOX’s Store, Website and promotional campaigns are reviewed prior to publication. WALLBOX states that it is not possible to guarantee that the content is completely free from errors, defects of composition and similar problems, and so WALLBOX recommends that Users should pay close attention to possible updates or rectifications added to the Store and/or the Website, as well as to confirm the data that is of essential interest, and that in no case should they make decisions based solely or especially on the information or promotional campaigns published on third-party websites.


9.2. All information published by WALLBOX on any advertising platform, either its own or one owned by third parties, and especially on banners, in email communications or using any other electronic means that contains typographical errors will have no value; and if in doubt, it is recommended that Users confirm the commercial information via WALLBOX's personal channels.


10. Links on the page


10.1. WALLBOX is not in any way responsible for any content, commercial activities, products or services that may be displayed on banners and electronic links, directly or indirectly, in the Store and/or on the Website.


10.2. The presence of banners and links on the Website is for informational purposes only and under no circumstance do they constitute a suggestion, invitation or recommendation to Users. These banners and links do not constitute any kind of relationship between WALLBOX and the owners of the pages that could be accessed via them. WALLBOX may unilaterally remove any banners or links that appear on the Website at any time.


11. Jurisdiction and applicable law

11.1. These General Conditions of Sale will be governed in accordance with the provisions of Spanish law, without prejudice to the legal regulations established for consumer and user protection that may be applicable.


11.2. In the event of any disputes arising from these General Conditions of Sale, the parties expressly waive any other venue or jurisdiction to which they may be entitled and agree to submit themselves to the Courts and Tribunals of Barcelona.
